ストラテジック・アライアンス（戦略的提携）、インテレクチュアル・プロパティ(特許、著作権、商標等)に関わるライセンス・共同開発等の契約取引（テクノロジー・トランザクションズ）、特許その他知的財産に関わる訴訟・仲裁、ジョイントベンチャー、ベンチャー・ファイナンシング、Ｍ＆Ａなどの法律分野を専門とし、日米間にまたがる国際的案件につき豊富な経験を有する。シリコンバレーを中心にカリフォルニアで築いた幅広い人的ネットワークを生かしつつ、アメリカのテクノロジー・ベンチャー企業との提携を模索する日本企業やアメリカで起業を考える日本人起業家などに対して、リーガル・ビジネス双方の観点から、クライアントのアメリカでのビジネスを成功に導くための戦略的なアドバイスを行っている。

1990年京都大学4年在学中に司法試験合格。2年間の司法修習を経て1993年4月、弁護士登録と同時に東京の森綜合法律事務所（現・森･濱田松本法律事務所）に所属。３年半に亘り知的財産法・会社法・不動産法等の幅広い分野において数多くの取引案件及び訴訟案件を担当。

1996年夏より米国留学し、1997年5月ニューヨーク大学（NYU）ロースクール法学修士号（LL.M.）を取得。1997年9月より1998年8月までMorrison & Foerster法律事務所（サンフランシスコ、ワシントンD.C.）にて、更に1998年10月より1999年9月までKirkland & Ellis法律事務所（シカゴ）にて、アメリカ国内及び日米間の知的財産に関わるライセンス・共同開発契約、Ｍ＆Ａ、証券発行、セキュリティゼーション（証券化）、特許訴訟等の分野で多様な実務経験を取得。1999年10月より2003年9月までシリコンバレー最大の法律事務所であるWilson Sonsini Goodrich & Rosati（カリフォルニア州パロアルト）にて、日米のテクノロジー企業およびベンチャー・キャピタルなどの投資家を主なクライアントとしていわゆる「シリコンバレー・プラクティス」をマスター。2003年9月よりKirkland & Ellis法律事務所ロスアンジェルス・オフィスにて弁護士活動を開始する。

AKIHITO (“AKI”) NAKAMACHI Associate

Akihito (“Aki”) Nakamachi practices in the areas of intellectual property, technology transactions, strategic alliances, joint ventures, venture financing and mergers and acquisitions and specializes in U.S.-Japan cross-border transactions. Mr. Nakamachi has successfully negotiated a variety of transactions involving intellectual property, including licensing, development, “spin-offs” and strategic alliances, as well as various corporate transactions both in the United States and Japan. Mr. Nakamachi counsels a variety of clients across various industries and businesses, ranging from large, matured global corporations to venture capital/private equity investors to Silicon Valley-style start-ups in both the United States and Japan. Aki also has broad experience with intellectual property and other commercial litigation in Japanese courts and the Japanese Fair Trade Commission. Mr. Nakamachi received both his B.A. and LL.B. in 1991 from Kyoto University, Japan. In 1990 Mr. Nakamachi passed the Japanese National Bar Exam (then pass rate: 1.9%) when he was a senior at Kyoto University as one of the few youngest successful applicants in the country. Following a two-year legal apprenticeship (clerkship) under the auspice of the Japanese Supreme Court, Mr. Nakamachi joined Mori Sogo Law Offices (current Mori Hamada Matsumoto) in Tokyo in 1993. During his years at Mori Sogo, Aki worked on a wide range of numerous domestic litigation and transactions. Aki left Mori Sogo in 1996 to attend the LL.M. program (Trade Regulation) at NYU School of Law. After earning his LL.M. from NYU, Aki worked at Morrison & Foerster, LLP, San Francisco and Washington D.C., in 1997-98, and at Kirkland & Ellis LLP, Chicago, in 1998-99, as a visiting attorney, and joined Wilson Sonsini Goodrich & Rosati P.C. as a lateral associate in October 1999. Aki was the first Japanese-licensed attorney who worked at one of the major Silicon Valley law firms as an associate. Aki is admitted to practice in California and New York as well as in Japan (“Bengoshi”). Aki is a member of the Intellectual Property Law Section of the American Bar Association and a member of the Tokyo Bar Association and the Japan Federation of Bar Associations. He is an enthusiastic tennis player, skier and golfer.
